Memorandum of Understanding

 

Purpose/Objective

Clause 14 of the
Grant Agreement stipulates that a PR may enter into agreement with one or more implementing partners or sub-recipients (SRs) for program delivery. In doing so, the PR is required to execute a formal agreement with each SR, thereby creating obligations on the part of the SR to the PR that are generally equivalent to those of the PR under the grant agreement, and which are designed to facilitate the compliance of the PR with the terms of the grant agreement. The agreements between implementing partners take the form of a Memorandum of Understanding (MOU).

Importantly, disbursement of funds from the PR to the SR cannot take place until the MOU is signed between the respective parties.

Guidelines

Generally, PRs and SRs will instruct their legal officers to provide technical expertise for preparation of the MOU (or adaptation of standard MOUs to new grants). The CCM Secretariat may also provide technical guidance and samples of MOUs.

Existing MOUs between implementing partners in Nigeria may be accessed on the
MOU page of the CCM Nigeria website. As well as reviewing these existing MOUs, guidelines have been prepared to assist PRs in Nigeria to develop MOUs. These are included as a resource on the CCM Nigeria website, titled Guidelines for MOUs between PR and SRs.

Reporting and communication between PRs and SRs

Whereas an MOU between a PR and an SR sets out contractual obligations, a critical element of fulfilling program requirements by implementing partners will be ensuring that communication and reporting channels are functioning effectively. A guideline has been prepared for Nigerian PRs and SRs to consider; it is available as a resource on the CCM Nigeria website and is titled Reporting and Communication between PRs and SRs.
